Kamba faction bids to stop DeMbare AGM

THE Ernest Kamba faction made some last minute efforts yesterday to try and take part at the Dynamos Annual General Meeting scheduled for tomorrow when they filed an urgent chamber application at the High Court. Mambosasa Legal Practitioners, the law firm representing Kamba and his group which includes former players Misheck Chidzambwa, Moses Chunga, David George, Grassiano Kapfunde, Cremio Mapfumo, Makwinji Soma Phiri, Eric Aisam, Stanley Chirambadare and Sam Mukomondo made the application.

“We are instructed by our clients in terms of the 1963 constitution of Dynamos Football Club as follows:

“Our clients are members of the Electoral College of Dynamos Football Club and shareholders of the Dynamos Football Club Private (Ltd) and as such are eligible to attend the AGM of the company.

“To that end our clients are requesting the following urgently as a prerequisite to prepare and attend the 8th AGM.

(a) Need minutes of the last seven AGMs

(b) Shareholder and attendance register of the same meetings

(c) Copies of adverts of the last meeting the 7th AGM

(d) Previous audited accounts

(e) Proxy form to enable our foreign-based clients to appoint representatives to attend and if required to cast votes on their behalf

“Our clients are also proposing that the venue of the meeting be changed to a neutral one after seeing that the proposed venue is a private property owned by Kenny Mubaiwa the current chairman of the executive where right of admission might be reserved to the prejudice of other shareholders who might be viewed as sharing different views to the current executive,” read the application.

The Dynamos Football Club (Pvt) Ltd lawyer Brian Mataruka confirmed the urgent chamber application

“The matter is going to court. If the judge believes it’s urgent it can be set down and if the judge is of the view that it is not urgent it will not be set down on an urgent basis,” said Mataruka.

“The judge can still dismiss it even if it’s heard and the meeting can still go on. The group is alleging that they are shareholders of the company. They did not file any proof that they are shareholders.

“If you are a shareholder you attach a share certificate or the share register.

“The case Number 472 /17 do not have all those documents which simply means that these guys are not shareholders

“They rely on 1963 Dynamos Football Club constitution which was repealed on the 14th of March, 2009.

“They are not directors, but they wanted to be invited to a meeting.”
